Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and First Round Is On Me, Inc. ("Lettuce," "we," "us," or "our") governing your use of the Lettuce mobile apps, website at lettucesocial.co, and related services (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service. Please read section 15 ("Dispute resolution & arbitration") carefully — it affects how disputes are resolved and includes a class-action waiver.

• Age. You must be at least 13 years old to use the Service. If you are under 18, you may use it only with the consent and supervision of a parent or legal guardian who agrees to these Terms.
• Registration. You sign in using your phone number and a one-time passcode, and you may verify an email address. You agree to provide true, accurate and complete information and to keep it up to date.
• Account security. You're responsible for activity on your account and for keeping access to your phone and email secure. Tell us right away if you suspect unauthorized use. Don't share your account or let anyone else use it.
• One account. You may not create an account for anyone else or maintain more than one account without our permission.

Lettuce helps you discover places worth going and the people to go with. You can explore a map of venues, save places, build lists and guides, write reviews, share moments and plans, coordinate outings, attend or host events, connect with friends, and use our in-app assistant.

We're always improving the Service and may add, change or remove features at any time. Some features are optional and depend on permissions you grant (like location or contacts) or integrations you choose to connect.

"Your content" means anything you create, upload or share through the Service — reviews, ratings, photos, moments, lists, guides, plans, events and messages. You keep ownership of your content.

By sharing content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to host, store, reproduce, modify (for formatting and display), publish, and display that content solely to operate, promote and improve the Service. This license ends when you delete your content or your account, except for content others have re-shared, content retained in backups for a limited period, and de-identified or aggregated data.

You represent that you have the rights to the content you share, that it doesn't violate anyone's rights or the law, and that it's accurate where it purports to be (for example, your own genuine experience in a review).

When using the Service, you agree not to:

• Post content that is unlawful, fraudulent, defamatory, harassing, hateful, threatening, obscene, or that infringes intellectual property or privacy rights.
• Post fake, deceptive or incentivized reviews, or impersonate any person or organization.
• Harass, bully, stalk, threaten or harm other members, or collect or misuse others' information (including contacts you've synced).
• Upload viruses or malicious code, or attempt to disrupt, overload, or gain unauthorized access to the Service or its systems.
• Scrape, data-mine, crawl, or use bots to access the Service, or reverse-engineer any part of it, except as permitted by law.
• Use the Service for spam, unsolicited promotion, or any commercial purpose we haven't authorized.
• Circumvent access controls, geographic restrictions, or any measures we use to protect the Service.
• Violate any applicable law or the rights of others.

We may review, moderate, remove or restrict content and accounts that we believe violate these Terms or harm the community, using automated tools and human review.

If you sync your contacts to find friends or send invitations, you confirm you have the right to share those contacts with us for that purpose. Only invite people you actually know and who would want to hear from you — don't use invitations to send spam.

The Service may let members host events and sell or offer tickets, with payments processed by our provider, Stripe. Where this feature is available:

• Hosts are responsible for their events, listings, pricing, and for delivering what they promise, and must comply with Stripe's terms and applicable law. Hosts may need to connect a payout account and complete identity verification.
• Attendees are responsible for paying applicable fees. Tickets are subject to the host's terms, including any refund or cancellation policy stated at purchase.
• Fees & refunds. Prices and any service fees are shown before you complete a purchase. Refund eligibility follows the host's stated policy and applicable law. Please raise any payment dispute with us promptly.
• We are not the organizer of member-hosted events and are not responsible for them; we provide the tools that make them possible.

Our in-app assistant generates recommendations and other content automatically. It can be inaccurate or incomplete, and it does not provide professional advice. Use your own judgment before acting on its suggestions, and don't share information with it that you wouldn't want processed to generate a response. See our Privacy Policy for how these interactions are handled.

The Service relies on and links to third parties — including maps and places data, payment processing, messaging, and information about venues drawn from public and licensed sources. We don't control third-party services or the accuracy of place information, and your use of them may be subject to their own terms. Details about venues (hours, offerings, reservations) can change and may be wrong; confirm directly with the venue before relying on them.

The Service — including its software, design, text, graphics, logos, and the Lettuce name and marks — is owned by First Round Is On Me, Inc. or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use, subject to these Terms. We reserve all rights not expressly granted.

If you send us ideas or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without any obligation to you.

You can stop using the Service and delete your account at any time. We may suspend or terminate your access — with or without notice — if you violate these Terms, create risk or legal exposure for us or others, or if we discontinue the Service. We may also remove content that violates these Terms. Provisions that by their nature should survive termination (such as content licenses already granted to others, disclaimers, limitations of liability, and dispute resolution) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure or error-free, that information (including place data and assistant output) will be accurate, or that content posted by members is reliable. You interact with other members, hosts, venues and events at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, First Round Is On Me, Inc. AND ITS OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless First Round Is On Me, Inc. and its officers, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of others.

Please read this section carefully. Most concerns can be resolved quickly — contact us first and we'll try to work it out informally.

Binding arbitration. Except where prohibited by law, you and Lettuce agree that any dispute arising out of or relating to these Terms or the Service that isn't resolved informally will be settled by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court.

Class-action waiver. You and Lettuce agree that claims will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Jury-trial waiver. To the extent permitted by law, you and Lettuce waive any right to a jury trial. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual-property or unauthorized-access claims.

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules, except where mandatory consumer-protection laws of your place of residence apply.

We may modify these Terms from time to time. When changes are material, we'll update the "Last updated" date above and give notice where appropriate (for example, in the app). Your continued use of the Service after the changes take effect means you accept the updated Terms. If you don't agree, stop using the Service.

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede any prior agreements.
• Severability. If any provision is found unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce a provision isn't a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We aren't liable for delays or failures caused by events beyond our reasonable control.
